1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Dentists Ranked, LLC ("Dentists Ranked," "we," "us," or "our") governing your access to and use of the website located at https://www.dentistsranked.com, including any subdomains, mobile applications, and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must immediately discontinue use of the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service following any changes constitutes your acceptance of the revised Terms.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Dentists Ranked operates an online directory and lead generation platform that connects individuals seeking dental services ("Patients" or "Users") with dental care providers, clinics, and practices ("Dental Providers" or "Providers"). Our Service includes:

• Directory Services: A searchable database of dental providers organized by location and services offered.
• Lead Generation: Collection and transmission of patient inquiries and contact information to matched dental providers.
• Provider Listings: Profiles, ratings, reviews, and business information for dental practices.
• Communication Tools: Click-to-call functionality and contact request forms.
• Practice Management: Dashboard access for dental providers to manage their listings and receive leads.
• Rewards Program: The Smile & Save Rewards Program, which offers eligible users gift card incentives for booking and completing dental appointments through our platform.

3. Important Disclaimers

3.1 Not Medical Advice

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. Dentists Ranked is an information and referral service only. We do not provide medical or dental advice, nor do we practice dentistry or medicine. Any information provided through the Service, including pricing estimates, service descriptions, or general dental information, is for informational purposes only.

You should always consult directly with a qualified dental professional regarding any dental or medical condition. Never disregard professional medical advice or delay seeking it because of information obtained through our Service. In case of a dental emergency, contact emergency services or visit the nearest emergency room immediately.

3.2 No Provider Endorsement

DENTISTS RANKED DOES NOT ENDORSE, RECOMMEND, OR GUARANTEE ANY DENTAL PROVIDER LISTED ON OUR PLATFORM. The inclusion of a provider in our directory does not constitute a recommendation, endorsement, certification, or guarantee of the quality of care they provide. We do not verify the credentials, licensing, qualifications, or competence of any dental provider.

It is your sole responsibility to verify a provider's credentials, licensing status, insurance, and qualifications before receiving any dental services. You should independently confirm that any provider you contact is properly licensed in your state and carries appropriate malpractice insurance.

3.3 No Guarantee of Results

We make no guarantees regarding the availability, responsiveness, or quality of any dental provider. We do not guarantee that you will find a suitable provider, receive an appointment, or achieve any particular dental outcome. Provider availability, pricing, and services are determined solely by the providers themselves and may change without notice.

3.4 Pricing and Cost Information

Any pricing information, cost estimates, or fee ranges displayed on the Service are provided for general informational purposes only and are not quotes, offers, or guarantees. Actual costs for dental services may vary significantly based on your specific situation, location, provider, treatment complexity, insurance coverage, and other factors. You must obtain a direct quote from the dental provider before receiving services.

4. User Accounts and Conduct

4.1 Account Registration

Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4.2 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Providing false, misleading, or fraudulent information
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity
• Submitting fake or fraudulent lead requests or contact information
• Using the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Attempting to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service
• Using automated means, including spiders, robots, crawlers, or scrapers, to access or collect data from the Service
• Harvesting or collecting email addresses or other contact information of users for any purpose
• Posting or transmitting any content that is defamatory, obscene, abusive, offensive, or otherwise objectionable
• Infringing upon the intellectual property rights or privacy rights of others
• Engaging in any activity that could damage, disable, overburden, or impair the Service

5. Lead Generation and Data Sharing

5.1 Patient Lead Submissions

When you submit a lead request or contact form through our Service, you understand and consent to the following:

• Your personal information, including name, phone number, email address, and location, will be shared with one or more dental providers who may be able to assist you.
• Dental providers may contact you via phone, email, or text message regarding your inquiry, even if you are on a do-not-call list. You expressly consent to such contact.
• We cannot guarantee that any provider will contact you or that you will receive the services you requested.
• Your information may be retained in our systems and the systems of dental providers in accordance with our Privacy Policy and their respective privacy policies.

5.2 TCPA Consent

By submitting your phone number through the Service, you provide express written consent under the Telephone Consumer Protection Act (TCPA) to receive calls and/or text messages from Dentists Ranked and dental providers, including calls and texts made using an automatic telephone dialing system or prerecorded voice, at the phone number provided. You understand that consent is not a condition of purchasing any goods or services. Standard message and data rates may apply.

5.3 Click-to-Call Services

Our Service may include click-to-call functionality that connects you directly with dental providers. By using this feature, you consent to have your call recorded for quality assurance and training purposes, and you understand that the dental provider, not Dentists Ranked, is responsible for the conduct of the call and any services discussed or provided.

6. Terms for Dental Providers

6.1 Listing Accuracy

If you are a dental provider using our Service, you represent and warrant that:

• All information you provide about your practice is accurate, current, and complete
• You are properly licensed to practice dentistry in all jurisdictions where you offer services
• You carry appropriate professional liability insurance
• You will respond promptly and professionally to all leads received through our Service
• You will comply with all applicable laws and professional standards in your interactions with patients

6.2 Lead Fees and Payments

Dental providers may be charged fees for leads received through our Service. By signing up for our lead generation service and providing payment information, you authorize us to charge your payment method for applicable lead fees. All fees are non-refundable unless otherwise specified or required by law. We reserve the right to modify our pricing at any time with notice to providers.

6.3 Lead Data Usage

Leads provided through our Service are for your use in contacting potential patients only. You may not resell, share, or distribute lead information to third parties. You agree to handle all lead data in compliance with applicable privacy laws and to maintain appropriate data security measures.

7. Smile & Save Rewards Program

7.1 Program Overview

Dentists Ranked offers the Smile & Save Rewards Program ("Rewards Program"), through which eligible users may receive a gift card reward for booking a dental appointment through our platform, completing a qualifying dental service, and submitting valid documentation. The Rewards Program is subject to separate terms and conditions available at our Rewards Program Terms page.

7.2 Eligibility and Participation

Not all users are eligible for the Rewards Program. Eligibility requirements include, but are not limited to, booking through DentistsRanked.com, being a new patient at the dental practice, being at least 19 years of age, paying out-of-pocket (self-pay only — insurance payments do not qualify), and receiving a qualifying dental treatment (exams and consultations do not qualify). Full eligibility requirements are detailed in the Rewards Program Terms.

7.3 Claim Verification

We reserve the right to verify all reward claims. Submitting fraudulent, falsified, or misleading documentation in connection with the Rewards Program constitutes a material breach of these Terms and may result in:

• Denial of the reward claim
• Permanent disqualification from the Rewards Program
• Termination of your account
• Legal action to recover any rewards obtained fraudulently

7.4 Program Modifications

Dentists Ranked reserves the right to modify, suspend, or terminate the Rewards Program at any time without prior notice. Changes to reward amounts, eligibility criteria, or other program terms may be made at our sole discretion. Continued participation in the program after changes are posted constitutes acceptance of those changes.

7.5 Tax Responsibility

You are solely responsible for any tax liability arising from the receipt of rewards. Dentists Ranked does not provide tax advice and recommends consulting a tax professional.

8. Intellectual Property

7.1 Our Intellectual Property

The Service and its original content, features, and functionality (including but not limited to text, graphics, logos, images, software, and the compilation thereof) are and will remain the exclusive property of Dentists Ranked and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7.2 User Content

By submitting content to the Service (including reviews, feedback, or profile information), you grant Dentists Ranked a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, publish, translate, distribute, and display such content in connection with the Service and our business. You represent that you own or have the necessary rights to submit such content and that it does not violate any third-party rights.

9. Third-Party Links and Services

Our Service may contain links to third-party websites, applications, or services that are not owned or controlled by Dentists Ranked. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Dentists Ranked shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

We use third-party service providers including, but not limited to, payment processors (Stripe), analytics providers (Google Analytics), email services, and telecommunications providers. Your use of these third-party services is subject to their respective terms of service and privacy policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DENTISTS RANKED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE
• WARRANTIES REGARDING THE QUALITY, SAFETY, OR LEGALITY OF ANY DENTAL SERVICES PROVIDED BY DENTAL PROVIDERS
• WARRANTIES REGARDING THE CREDENTIALS, QUALIFICATIONS, OR COMPETENCE OF ANY DENTAL PROVIDER

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DENTISTS RANKED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Service
• Any conduct or content of any third party on the Service, including dental providers
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any dental treatment or services received from a provider found through our Service
• Any errors or omissions in provider listings, pricing, or other information

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dentists Ranked and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Any claim that your content caused damage to a third party
• Your violation of any applicable laws, rules, or regulations

This defense and indemnification obligation will survive the termination of your account and these Terms.

13. Dispute Resolution

12.1 Informal Resolution

Before filing a claim against Dentists Ranked, you agree to try to resolve the dispute informally by contacting us at hello@dentistsranked.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Dentists Ranked may bring a formal proceeding.

12.2 Binding Arbitration

YOU AND DENTISTS RANKED AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION, rather than in court, except that (1) you may assert claims in small claims court if your claims qualify; and (2) you or Dentists Ranked may seek equitable relief in court for infringement or other misuse of intellectual property rights.

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the state in which you reside or, if you are a business, in New Jersey, United States. The arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

YOU AND DENTISTS RANKED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Dentists Ranked agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims and may not otherwise preside over any form of a representative or class proceeding.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Dentists Ranked regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

18. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
